Q&A: Independent Board Election Review?

Q. I am a shareholder in a Mitchell-Lama cooperative. If I have concerns about the results of the board of directors’ election, how can I get an independent person to recount the votes and confirm the tally? Management and the Board of Directors will not be of help in this situation.

A. According to Andrew P. Brucker, a partner at the New York office of law firm Armstrong Teasdale: “A shareholder has no right (unless stated otherwise in bylaws) to demand a recount. Under the Mitchell-Lama rules, promulgated by the NYC Department of Housing Preservation & Development (HPD), all elections should be supervised by an independent election company, or the housing company’s attorney or an accountant. In addition, all procedures must be approved by HPD.

All of this should go a long way to assuring that the election is fair and equitable, and that the possibility of a falure to count the votes properly is very remote. If the shareholder has evidence there was something wrong with the process or the tabulation, they might try calling HPD directly, who might make some inquiries with management or the housing company’s counsel in regard to the election.”

  • It is very unfortunate that the State and Federal Government do not afford the same rights and opportunities to Co-Op unit owners since we pay mortgages and maintenance fees (including taxes) just like every other homeowner. We are constantly taken advantage of by power hungry board members not acting in our best interests and are NEVER consulted regarding major decisions affecting our quality of lives. In the past, they have also received kickbacks and employed relatives and friends for co-op business. This needs to change. You all need to write detailed letters to your representatives and stop thinking there are ramifications for speaking up and writing letters. If need be, write up a quick summons/complaint (takes 5 minutes), file it with the County Clerk or hire an attorney and watch the nonsense stop immediately. DOCUMENT EVERYTHING and take pictures. If anyone who can effect change would like details, please feel free to contact me.
